Wholesale Account Terms

These terms apply to wholesale accounts with Heron Botanicals ("Heron," "we"). By applying for or using a wholesale account, you agree to them along with our Sales Policies, Terms of Service and Privacy Policy.

1. Eligibility and approval. Wholesale accounts are for qualified healthcare practitioners, clinics and wholesalers. To open an account, complete the new account form at HeronBotanicals.com. We may ask for credentials or business information and may approve, decline or close any account at our discretion.

2. Your account. Your account is for you and your practice. Don't share your login or buy on behalf of another practitioner or business. Billing must go through the account holder. Keep your contact, billing and shipping details current.

3. Restricted products. Some products are marked "Restricted" (low dose). To buy them you need separate approval through our restricted herb application. We approve based on your training and knowledge of safe use, and you must sign a waiver of liability and agree to safe storage. Approval is at our sole discretion. Approval for one restricted product doesn't cover others unless we say so.

4. Pricing and payment. Wholesale prices appear when you're logged in, and volume discounts are built into bottle-size pricing. There is no minimum order. Prices may change without notice. Your order is priced at the time you place it.

All orders are prepaid by Visa, MasterCard, Discover or American Express and charged when you place the order. If we don't have a card on file, we'll hold your order until we receive payment information.

Card on file. By giving us your payment information, you authorize us to keep your card on file. You also authorize us to charge it for current and future orders you place by phone, email or online, including taxes, shipping and fees. You can update or remove your card at any time by contacting us. Removing a card doesn't release you from any outstanding balance. Stored payment information is handled by our PCI DSS-compliant payment processor, and we don't store complete card numbers on our systems.

Payment disputes. If you have a question about a charge, contact us first so we can resolve it. We may suspend an account while a chargeback or payment dispute is open.

5. Resale and product use. You may dispense products to your own patients, sell them over the counter in a medical retail setting, or use them for contemporaneous compounding. Restricted products may not be sold over the counter in any setting. Retail sales in non-medical settings need our written approval. You may not offer products for sale online except through a password-protected patient portal. You may not list or sell them on third-party marketplaces such as Amazon, eBay, Etsy or Walmart Marketplace. Don't relabel, repackage or alter products. Don't make disease claims about our products, and include the required FDA disclaimer wherever you describe them.

6. Use of our name and materials. You may use the Heron Botanicals name, logo and product images only to identify and accurately describe our products that you carry. Don't alter our images or materials, and don't suggest that Heron endorses or is affiliated with your practice. We may ask you to stop any use at any time.

7. Shipping. We ship to the address on the order by FedEx or UPS. PO Box orders and orders to Hawaii, Alaska and Puerto Rico ship by USPS Priority Mail. We don't ship outside the United States and its territories. Report damaged or missing items within 7 days of delivery (or expected delivery), with photos of the damage, box and label. Once tracking shows a package was delivered, we aren't responsible for loss or theft, and claims go to the carrier. If an address is wrong or incomplete, you pay any rerouting or reshipping costs.

8. Returns. You may return unopened, intact products within 30 days of purchase. A 15% restocking fee applies and you pay return shipping, unless the return is due to our error. Errors must be reported within 14 days for a full refund or replacement. Shipping costs are non-refundable. Drop-shipped orders can't be returned for credit, but we'll still replace or refund damaged items and correct our errors. We don't accept returns or give refunds for products tied to a reported adverse event. Confirmed product defects are handled under our standard returns policy.

9. Adverse events and recalls. If you or a patient has an unexpected reaction that may be related to one of our products, please let us know as soon as you can. Our Sales Policies list the details that help us. We also ask that you keep basic records of which products and lots go to which patients, including drop-shipped orders. Then if we ever issue a recall or safety notice, you can reach the people who need it.

10. No medical advice. Heron makes herbal products and dietary supplements. We don't diagnose, treat or advise on individual health matters, and nothing we publish replaces your professional judgment. These statements have not been evaluated by the Food and Drug Administration. Our products are not intended to diagnose, treat, cure or prevent any disease.

11. Your responsibility. You're responsible for how you recommend, dispense and describe our products, and for the professional services you provide. You agree to defend, indemnify and hold Heron harmless from claims, losses and reasonable legal fees arising from:

  • your relabeling, repackaging or alteration of our products
  • claims you make about our products
  • sales or use outside these terms
  • your professional services

This doesn't apply where the claim is caused by a defect in our product or our own negligence.

12. Warranty. We warrant that our products match their labels when they ship. If a product doesn't, your remedy is replacement or refund. EXCEPT FOR THAT WARRANTY, OUR PRODUCTS ARE PROVIDED WITHOUT ANY OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

13. Liability. To the extent the law allows, our total liability for any claim is limited to the amount you paid for the product involved. We aren't liable for indirect, incidental or consequential damages, such as lost profits. We also aren't responsible for delays or failures caused by events beyond our control, including carrier delays, natural disasters and regulatory actions.

14. Ending an account. You can close your account at any time. We may suspend or close an account that breaks these terms or our Sales Policies, misuses restricted products, has unpaid balances or has an open payment dispute.

15. Changes, conflicts and governing law. We may update these terms and will post the new date here. If these terms conflict with our Sales Policies, these terms control. Washington State law governs these terms, with venue in Kitsap County, Washington.
